However, the contractor retains all responsibility and risk of loss for damaged or non-conforming supplies for 180 days after title passes.
  • Invoicing Requirements: For subscriptions (52.213-2), invoices must specify delivery dates. Under Fast Pay, invoices must be prominently marked "FAST PAY" to be processed under expedited timelines.
  • Notice to Supplier (52.213-3): An order is only considered "firm" if the price does not exceed the maximum schedule price; contractors must withhold performance and notify the Contracting Officer if they cannot comply exactly with the order.
  • Simplified Terms and Conditions (52.213-4): This clause acts as a "catch-all" for non-commercial simplified acquisitions, incorporating by reference various laws and executive orders (e.g., prohibitions on Kaspersky Lab and ByteDance, convict labor laws, and equal opportunity requirements).
  • Termination and Inspection: The Government maintains the right to terminate for convenience or cause and retains the right to inspect or test supplies. If terminated for convenience, the contractor is paid a percentage of the contract price based on work performed plus reasonable termination charges.

Practical Implications

  • Cash Flow Advantage: The Fast Payment Procedure is highly beneficial for contractors’ cash flow, as it allows for payment shortly after shipment rather than after the Government's formal acceptance.
  • Liability Buffer: Contractors must be aware that while they receive payment early under Fast Pay, they are effectively self-insuring the shipment for six months, as they are contractually obligated to replace or repair any items lost or damaged in transit at their own expense.
  • Compliance Efficiency: Clause 52.213-4 simplifies the contracting process by providing a pre-packaged list of mandatory clauses, making it easier for small businesses to understand their baseline legal obligations without navigating the entire FAR.
